  • Beta Program Agreement

This agreement sets out the terms on which you take part in the Geminel Studio beta program. You accept it by ticking the dedicated box in the application form at geminel.studio/beta; the accepted version and the moment of acceptance are recorded with the application. The agreement takes effect when the application is approved and the account is activated.

1. Parties and subject

1.1. The agreement is concluded between Societatea cu Răspundere Limitată „Geminel Studio" (“Geminel Studio”, the “Provider”, “we”), whose identification details are set out below, and the person whose beta application has been approved (the “Participant”, “you”).

1.2. The subject of the agreement is the Participant's access to the Platform in its beta phase, with free credits and human support, in exchange for collaboration and feedback, so that the Platform is tested on real accounts and real content before the Official launch.

1.3. The agreement supplements the Terms & Conditions, the Privacy Policy, the GDPR & data rights page and the Refunds & cancellation policy. Terms defined there have the same meaning here. For everything that concerns the beta program this agreement prevails; otherwise the Terms & Conditions apply.

2. Definitions

Term Meaning
Beta program The 90 days from the activation of the Participant's account (acceptance of the invitation), during which the Participant tests the Platform with the Beta credits and the human support of chapter 5; it may be extended under clause 7.2.
Continuation period The period between the end of the Beta program and the Official launch, during which the Participant may keep using the Platform at Real cost (clause 6.5).
Official launch The moment announced by Geminel Studio from which the Platform is offered publicly, with its commercial plans and prices.
Beta credits The credits granted free of charge to the Participant (granted credits under clause 5.8 of the Terms & Conditions).
Real cost The cost of the external services used by a job (AI models, video rendering, speech synthesis, storage), metered per job and converted into EUR at the rate of the day of use, with no Geminel Studio markup.
Feedback The Participant's opinions, suggestions, bug reports, survey answers and any other observations about the Platform.

3. Admission to the program

3.1. Applications are sent through the form at geminel.studio/beta. Geminel Studio chooses the Participants at its own discretion (for example, by the type of content and the networks used) and is not obliged to approve an application or to give reasons for a refusal.

3.2. The Participant must be at least 18 years old and use the Platform for professional purposes (for their own brand, their own business or their clients). The details in the application must be true.

3.3. After approval, the Participant receives an invitation valid for 14 days, with which they set their password. A Workspace is created for each Participant, who is its owner and Payer.

3.4. Each person or business takes part only once. Multiple applications, accounts created to obtain additional credits and transferring a place in the program are prohibited.

4. The beta nature of the Platform

4.1. The Platform is under development. Features may contain errors, may work differently from their description, may be changed, replaced or withdrawn, and the Platform may be temporarily unavailable, including for updates made without prior notice.

4.2. Until the Official launch, the Platform is provided “as is”, without guarantees of availability, performance or results (audience, sales) and without a service level (SLA).

4.3. The Participant keeps copies of important materials and does not use the beta Platform as the only means of critical or urgent communication.

4.4. AI-generated results may contain errors. During the Beta program we recommend keeping publishing in manual approval mode; the Participant decides what is published and is responsible for the content published from their account, under chapter 8 of the Terms & Conditions.

5. Human support

5.1. During the Beta program, the Participant works with real people from the Geminel Studio team, not only with automated assistants. The team helps with:

  • the initial setup: connecting the social accounts, the brand profile, the knowledge base, the languages, the voice and the level of autonomy;
  • the first materials: clips, posts and replies, reviewed together with the Participant;
  • improvements: adjusting the settings and the Platform based on the Participant's Feedback.

5.2. Support is given by e-mail (contact@geminel.studio), by phone and in video calls scheduled by mutual agreement, Monday–Friday, 09:00–18:00 (Republic of Moldova time). We acknowledge a request within 1 business day at most. Outside these hours, we answer on the next business day.

5.3. For setup and support, Geminel Studio staff may view the Participant's Workspace, only to the extent needed for the request at hand. Actions with an outside effect (for example, a post or a reply sent on the Participant's behalf) are taken only at the Participant's request or with their agreement.

5.4. The team may use AI tools to prepare an answer or an analysis; the answers and decisions given in support are checked by a person.

5.5. During the Continuation period, support is given on the terms of the Terms & Conditions (clause 7.3).

6. Credits and costs

6.1. When the application is approved, the Participant receives 20 free Beta credits, with no card. Beta credits do not expire unless an expiry date was set when they were granted, and they remain usable after the end of the Beta program, except in the cases of clause 12.3.

6.2. Geminel Studio may grant additional credits, for example to test a new feature or a scenario the team asks for, but is not obliged to do so. Granting additional credits once creates no right to future grants.

6.3. Beta credits are a free allowance with no monetary value: they are not refunded, exchanged for money, sold or transferred to another Client (Terms & Conditions, clause 5.8). They are used before paid credits.

6.4. During the Beta program and the Continuation period, the Consumption of the Participant's Workspace is settled at Real cost, with no markup. Before a costly job, the Platform shows an estimate; the real cost is recorded on the job and can be viewed in the console.

6.5. When the balance reaches zero, production that would consume credits stops (Terms & Conditions, clause 5.6). Once the Beta credits are used up, including after the end of the Beta program, the Participant may keep using the Platform by paying the Real cost with paid credits (pay as you go), until the Official launch. Paid credits are bought with the payment methods available in the console at that time; VAT is added for Payers in the Republic of Moldova, and unused paid credits are refunded under the Refunds & cancellation policy.

6.6. Taking part in the program does not oblige the Participant to pay anything. Nothing is charged automatically: paid credits are bought only on the Participant's initiative.

7. Duration of the program

7.1. The Beta program starts when the account is activated and lasts 90 days. If the Official launch happens earlier, the Beta program ends at the Official launch.

7.2. Geminel Studio may extend the Beta program for one or for all Participants, announcing it by e-mail.

7.3. When the Beta program ends, the Continuation period starts, with no action needed from the Participant. It lasts until the Official launch. At least 15 days before the Official launch, Geminel Studio sends the Participant the commercial plans and prices by e-mail. Settlement at Real cost ends at the Official launch; the Participant then chooses a plan, continues with pay as you go at the published prices or closes the account. No paid plan is activated without their agreement.

7.4. Geminel Studio may, without being obliged to, offer Participants preferential terms at the Official launch.

8. The Participant's obligations

8.1. The Participant undertakes to collaborate with the Geminel Studio team and to provide feedback. During the Beta program this means, within reason:

  • using the Platform for real, on their own accounts and materials, regularly;
  • taking part in a feedback session (video or phone call) of at most 60 minutes, usually once a month, on a date agreed by both sides;
  • answering short surveys, usually at most one every two weeks;
  • reporting errors and unexpected behaviour as soon as possible, with the details they have (what they did, what happened, screenshots, the time);
  • answering the team's messages within 5 business days at most;
  • keeping their contact details up to date.

During the Continuation period, feedback is welcome but optional.

8.2. The Participant complies with the acceptable use rules of the Terms & Conditions (chapter 8), the policies of the connected social networks and third parties' rights in the materials used.

8.3. The Participant does not try to get around the Platform's technical or credit limits and does not test its security without Geminel Studio's written agreement. A vulnerability found is reported only to Geminel Studio, at contact@geminel.studio, and is not made public before it is fixed.

8.4. Collaboration and Feedback are not paid. The agreement creates no employment, partnership or agency relationship between the parties.

9. Feedback and intellectual property

9.1. Geminel Studio may use Feedback freely to improve the Platform and its services, without payment and without limit of time or territory, and is not obliged to implement a suggestion. Features developed from Feedback belong to Geminel Studio.

9.2. Feedback does not include Client Content: the Participant's materials, brand and data remain theirs and are used only to provide the services (Terms & Conditions, clause 8.1). We do not use Client Content to train AI models.

10. Confidentiality and publicity

10.1. Non-public information received as a Participant (unreleased features, future plans and prices, internal documentation, security issues) is confidential for as long as it is not public. The Participant does not disclose it to third parties without Geminel Studio's written agreement, until the Official launch and for 12 months after it. The Participant may speak freely about their general experience with the Platform and may publish their own content made with it.

10.2. Geminel Studio does not use the Participant's name, logo, accounts or content in public materials (case studies, testimonials, advertising) without their separate and express consent, which can be withdrawn at any time for future uses.

10.3. Geminel Studio may mention publicly the number of Participants and aggregated findings, without identifying the Participants.

11. Personal data

11.1. By accepting the agreement, the Participant acknowledges and agrees that Geminel Studio, as controller, processes their personal data for the purposes and within the limits below, under Law No. 195/2024 on the protection of personal data and, for persons in the European Union, Regulation (EU) 2016/679 (GDPR).

11.2. The data processed is:

  • application data: name, e-mail, the capacity in which they apply, the brand or business, the networks and profile links, the content wanted and the business details, the language, the moment of consent and the accepted version of this agreement;
  • account and billing data, as described in the Privacy Policy;
  • usage data: the features used, the jobs and their cost, errors, technical and audit logs;
  • Feedback and communications with the team (e-mails, messages, notes from the feedback sessions);
  • the recording of a feedback session, only if the Participant agrees to it at the start of the session.

11.3. The purposes and legal bases are: reviewing the application and contacting the applicant (pre-contractual steps); creating the account, granting the credits, support and setup (performance of this agreement and of the Terms & Conditions); improving the Platform from usage data and Feedback (performance of the agreement and our legitimate interest in building a product that works); security and abuse prevention (legitimate interest); recording sessions (consent).

11.4. For the data of the Participant's audience (comments, messages, audience profiles) and for third parties' data in their materials, the Participant is the controller and Geminel Studio the processor, under the data processing agreement on the GDPR & data rights page. The Participant guarantees that they have a legal basis for this data.

11.5. Data is shared only with the providers needed to deliver the services (hosting, storage, AI models, the social networks chosen by the Participant), listed in the Privacy Policy, with the safeguards described there for transfers outside the Republic of Moldova and the EU. We do not sell personal data.

11.6. Data is kept as set out in the Privacy Policy (chapter 8). Feedback may be kept after the account is closed, but only anonymised, without data that identifies the Participant. Session recordings are deleted within 12 months at most.

11.7. The Participant may exercise at any time the rights of access, rectification, erasure, restriction, objection and portability, and may withdraw consent to recordings, by writing to contact@geminel.studio, as described on the GDPR & data rights page. Objecting to processing that the program needs (for example, the use of usage data) may make it impossible to continue in the program; the account may continue on the terms of the Terms & Conditions.

12. End of participation

12.1. The Participant may leave the Beta program at any time by e-mail, or close their account.

12.2. Geminel Studio may end a Participant's participation in the Beta program:

  • with at least 15 days' notice by e-mail, without having to give a reason;
  • with at least 7 days' notice by e-mail, if the Participant has not used the Platform and has not answered the team's messages for 30 days;
  • immediately, in the event of a serious breach of the agreement or of the Terms & Conditions, abuse of credits or a security risk.

12.3. When the Participant leaves, or Geminel Studio ends their participation, before the end of the Beta program, the support of chapter 5 ends and unused Beta credits may be cancelled. Except when participation ends for a breach, the account continues in the Continuation period, under clauses 6.5 and 7.3, unless the Participant closes it.

12.4. When participation ends for a breach or the account is closed, unused paid credits are refunded on request, and data export and deletion follow the Terms & Conditions (clause 11.4).

12.5. Chapters 9, 10, 11 and 13 continue to apply after the end, within the limits they set.

13. Liability

13.1. As the Platform is in its beta phase, until the Official launch Geminel Studio is not liable for losses caused by errors, unavailability, or the change or withdrawal of features, nor for indirect damage (lost profit, data or opportunities), to the extent permitted by law.

13.2. For everything else, chapter 13 of the Terms & Conditions applies. The limitations do not apply to damage caused intentionally or by gross negligence, nor to rights that the law does not allow to be limited.

14. Changes to the agreement

14.1. Geminel Studio may change this agreement. Changes are published on geminel.studio and sent to Participants by e-mail at least 15 days before they take effect, except for those required by law. A Participant who does not agree may leave the program before that date; continuing to take part after that date constitutes acceptance of the new version.

14.2. Beta credits already granted are not reduced by a change to the agreement.

15. Governing law and final provisions

15.1. The agreement is governed by the law of the Republic of Moldova. Disputes are settled amicably and, failing agreement, by the competent courts of the Republic of Moldova, subject to the mandatory rights of consumers where they apply.

15.2. If a clause becomes void, the others remain in force, and the parties replace it with one as close as possible to its purpose.

15.3. The parties communicate by e-mail, at the Participant's account address and at contact@geminel.studio.

15.4. The Romanian version is authoritative; the English version is a translation.
